Storeware Usage & Licensing
- Use of Storeware
You must comply with all consumer or other legislation, instructions or guidelines issued by regulatory authorities, relevant licences and any other codes of practice which apply to you.
Storeware must not be used in a way that does not comply with the terms of any legislation or any licence applicable to you or is in any way unlawful.
Storeware must not be used to send, receive, upload, download, use or re-use any information or material which is offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of confidence, copyright, privacy or any other rights.
- Copyright
Unless negotiated and agreed in writing, the copyright of all artwork, illustrations and any elements whatsoever prepared, developed or created by Edoru Ltd shall belong to Edoru Ltd. You shall be responsible for obtaining all necessary authorities and consents to reproduce pictures, artwork, photographs, copyright text and/or any other reproducible materials prior to uploading to your Storeware system. The customer shall indemnify and hold Edoru Ltd, its agents and representatives harmless against all claims, demands, actions, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred by reason of any claim (including but not limited to the defence of such claim) that the display of materials within your Storeware system infringes the intellectual property or other rights of any third party or misuses the confidential information of a third party.
All design, text, illustrations, graphics, photographs, diagrams, drawings, logos, and the selection and arrangement thereof, and all source code and all other material content of any Website owned, controlled or operated by Edoru Ltd are the intellectual property of Edoru Ltd. No reproduction of any part is allowed without written permission.
- Access to Storeware & Security
You shall only be entitled to access Storeware using the single administrative account and log-in process assigned to you by Edoru Ltd. You are responsible for the proper use of all passwords, or other security devices used in connection with Storeware (including changing passwords on a regular basis) and must take all necessary steps to ensure that they are kept confidential, secure, used properly and not disclosed. Edoru Ltd reserves the right to suspend access to Storeware within a reasonable timescale if at any time we consider that there is or is likely to be a breach of security. You will be notified of the suspension and any steps to be taken by you as soon as is reasonably practicable.
- Internet Access
Storeware is delivered via the internet. The internet is not governed by Storeware or Edoru Ltd; its use is solely at your risk and subject to all applicable laws. Edoru Ltd has no responsibility for any information, software, services (other than those parts of Storeware delivered via the internet) or other materials obtained by you using the internet. You accept that you must have or obtain a suitable internet access service and that you are wholly responsible for your own internet access equipment and charges.
- Domain Name / Website URL
You warrant that you are the owner of, or that you are duly authorised by the owner of, any trademark or name that you wish to use in a Domain Name as part of a URL in connection with the Storeware system.
We reserves the right to require you to select a replacement Domain Name or URL and may either refuse to provide or suspend the service if, in Edoru Ltd's opinion, there are reasonable grounds to believe that the Domain Name or URL is, or is likely to be, offensive, abusive, defamatory or obscene or in breach of any laws. On satisfaction of Edoru Ltd’s reasonable requirements, including provision of a suitable substitute Domain Name or URL, we will resume provision of the Storeware service.
- Exporting Goods
You agree to comply with any applicable export or re-export laws and regulations of any country, including obtaining written authority from the US Government if you intend at any time to re-export any items of US origin to any proscribed destination.
- Transaction Accuracy, Currency Conversions And Taxation
You acknowledge and accept that you are exclusively responsible for checking the accuracy of each transaction or computation carried out using Storeware, including the calculation of currency conversions and imposition of any applicable taxes, duties and charges of whatever nature and for all documentation relating to such transactions and computations, including without limitation and as applicable the creation of invoices, VAT or other tax records and shipping documentation.
You agree that Edoru Ltd shall have no liability for any loss or liability incurred by you relating to these calculations.
- Technical Requirements
Internet access and compliant browser for access to administration system. A standard image manipulation tool is required to get that best from your product photos prior to upload. These are usually supplied free of charge with digital cameras and operating systems.
- Backups And Service Failure
Your system data (database and images) will be backed up in full when we receive your request to make your store live. No backups will be performed automatically after this time. Backups can be requested at any time at a charge of £35. You accept that Edoru Ltd is not responsible for any loss of any data due to system failure. You accept that Edoru Ltd is not responsible for any loss of business or any business impact due to system failure. Edoru Ltd will aim to restore services as soon as possible and restore all data from the last backup.
- Terminating The Contract
Either party may terminate this Contract with 30 days written notice to the other. Storeware is operated on a 30 day rolling contract, there is no minimum term. Upon termination of the licensing contract no setup fees are refundable. . In the event that Edoru Ltd has registered your domain name or you have transferred your domain name to Edoru Ltd for management - you may transfer your domain name to another provider. Any fees incurred due to the transfer will be payable by the customer and charged with a 30% service charge.
- The Law
This Contract is governed by English Law and the parties hereby submit to the exclusive jurisdiction of English courts.
